License Agreement

How the license works
You buy a licensed 300 MP TIFF masterfile. The license is perpetual and worldwide. You do not buy the copyright. A print studio may produce the physical piece. The license sits with the buyer named on the order.

Personal License
For a private home. Once purchased, you may print the work as often as you need for your own private spaces — including a second home. Not for a client, a hotel, an office, or any space run as a business.

Commercial License — your own premises
For the hotel, restaurant, office, practice or other locations you operate. Buy it once. You may print and hang the work across those spaces as often as the rooms require. The same file covers several of your own walls and sites. It does not cover a franchise partner, an affiliate, or another company’s location.

Commercial License — one client project
When a designer or print studio buys for a named client, the license is for that client and that project. After production, the file and the rights sit with that client. The studio does not keep the TIFF for the next job and does not reuse it for another client.

If you are the printer
You produce what the license holder ordered. You may crop and scale the file for that wall. You do not resell the file, you do not archive it as stock for later customers, and you do not treat the TIFF as your catalog. When you buy on behalf of a client, use the Commercial License. The client holds the license when the job is done.

1. Parties, Purpose, and Acceptance
This UltraHighRes.Art License Agreement (the “Agreement”) is between seedfish UG (haftungsbeschränkt), Schwägrichenstr. 2, 04107 Leipzig, Germany, email: gallery@ultrahighres.art (the “Licensor”), and each individual or legal entity that purchases or otherwise lawfully receives a Digital Masterfile under an applicable order (the “Licensee”).

The Licensor makes selected digital fine-art masterfiles available under limited licenses. The Licensee receives only the specific use rights expressly granted in this Agreement. No sale or transfer of copyright, ownership of the underlying Work, or general right to exploit the Digital Masterfile is intended.
This Agreement applies to each purchase of a Digital Masterfile in accordance with the legally effective acceptance process set out in the Standard Business Terms and subject to mandatory applicable law.

2. Definitions
For purposes of this Agreement:
“Commercial License” means the license described in Sections 5 and 6 for direct commercial use or one Professional Client Project.
“Digital Masterfile” means the digital artwork file supplied by the Licensor for a purchased Work. Product-specific technical specifications are stated on the applicable product page or in the relevant order record.
“End Client” means the ultimate recipient for whom a Professional acquires and implements a Work in one particular Professional Client Project.
“Limited Edition” means a Work for which the Licensor offers no more than ten (10) digital licenses. Once the stated license quantity has been sold, that Work is sold out for further license sales in that edition.
“Order Confirmation” means the transaction record sent to the Licensee by email after the order, which identifies the purchased Work and any transaction-specific details, including the selected licence type and, where relevant, Original Unique or Limited Edition status. The Order Confirmation is accompanied by the version of this Agreement and the Standard Business Terms applicable to the purchase as PDF attachments.
“Standard Business Terms” means the Standard Business Terms and customer information of seedfish UG (haftungsbeschränkt) that apply to the relevant purchase.
“Original Unique” means a Work for which the Licensor grants one (1) exclusive digital license to one Licensee. Once that license has been sold, the Licensor will not sell or grant a further license for that Work and will identify it as sold out, subject to the retained rights expressly stated in this Agreement.
“Physical Output” means a tangible reproduction of a Work, including a canvas, acrylic, metal, paper, glass, tension-fabric, acoustic-panel, or other physical display produced from a Digital Masterfile.
“Personal License” means the license described in Section 4 for private residential use by an individual Licensee.
“Professional” means an art consultant, interior designer, architect, stylist, fabricator, project manager, or comparable service provider acting for an End Client.
“Professional Client Project” means one particular engagement for one clearly identified End Client. It does not include a portfolio of clients, a recurring service arrangement, a broader development programme, or a right to reuse the Work for a later project.
“Work” means the specific visual artwork associated with the purchased Digital Masterfile.

3. General License Principles

3.1 Limited license; no ownership transfer
Subject to compliance with this Agreement, the Licensor grants the Licensee the limited rights expressly specified by the selected Personal License or Commercial License. The license granted is perpetual, worldwide, and (except for Original Unique licenses) non-exclusive. Except where Section 6 expressly provides for an End Client handover, the license is non-transferable and non-sublicensable.
The Licensor and, where applicable, its creators or suppliers retain all copyright, moral rights to the extent applicable, title, and other intellectual-property rights in the Work and Digital Masterfile. All rights not expressly granted are reserved.

3.2 License holder
The Licensee is the individual or legal entity that lawfully acquires the applicable Digital Masterfile. If a Professional acquires or administers a Commercial License for one End Client, the End Client becomes the intended Licensee after the handover described in Section 6. The Professional receives only the temporary, project-limited permissions described in that Section. The Professional shall document the handover in a manner that allows the Licensor, upon reasonable request, to verify that the handover has taken place.

3.3 Transaction-specific records
The applicable product page and Order Confirmation record transaction-specific facts, such as the purchased Work, selected license type, and, where relevant, edition or Original Unique status. They do not expand the rights granted by this Agreement.

3.4 No implied rights
A use that is not expressly permitted by this Agreement is not authorised. Any use outside the express grant requires the Licensor’s written approval before it occurs.

4. Personal License

4.1 Eligible Licensees

A Personal License is available only to a natural person or private household acquiring a Work for private residential purposes.

4.2 Permitted private use
A Personal License permits the Licensee to:

create, or instruct an independent print specialist to create, an unlimited number of Physical Outputs from the licensed Digital Masterfile solely for the Licensee’s own private residential purposes, including the Licensee’s homes, lofts, holiday homes, or comparable private spaces;
display those Physical Outputs in those private spaces; and
resize, scale, crop, change dimensions, apply colour treatment, edit, or otherwise modify the Digital Masterfile in accordance with Section 8.

4.3 Private-use limits
A Personal License does not permit commercial use, use in a business location, use for a client, use in a Professional Client Project, or the provision of design, consulting, production, or other services to a third party using the Digital Masterfile.
The Licensee may sell or otherwise transfer a Physical Output as a tangible object. The recipient of that Physical Output does not receive the Digital Masterfile, a download link, digital rights, a right to make replacement prints, or any right to use the Work in another context.

4.4 Edition status
If the Work is an Original Unique, the Personal Licensee is the sole digital license holder for that Work. If the Work is a Limited Edition, the Personal License is one of no more than ten licenses for that Work.

5. Commercial License — Direct Commercial Use

5.1 Eligible Licensees
A Commercial License may be acquired by a company, organisation, sole proprietor, or other commercial buyer.

5.2 Permitted direct commercial use
For its own business, the Commercial License permits the Licensee to:

create, or instruct an independent print specialist to create, an unlimited number of Physical Outputs from the licensed Digital Masterfile;
display those Physical Outputs publicly at the Licensee’s own business premises and properties, including its own hotels, restaurants, offices, practices, galleries, lobbies, or comparable locations; and
resize, scale, crop, change dimensions, apply colour treatment, edit, or otherwise modify the Digital Masterfile in accordance with Section 8.
This grant applies only to the Licensee’s own business use. It does not automatically extend to corporate groups, affiliates, subsidiaries, franchisees, managed properties, or any other third party. It does not permit use for an unrelated customer, affiliate, franchisee, licensee, or other third party unless that use is expressly permitted by Section 6 or separately authorised in writing by the Licensor.

5.3 Physical object transfers
The Licensee may transfer a particular Physical Output as a tangible object. That transfer does not assign or sublicense the Digital Masterfile or confer a right to make additional Physical Outputs unless the Licensor separately and expressly approves that result in writing.

6. Commercial License — Professional Client Projects

6.1 One project for one End Client
A Professional may acquire or administer a Commercial License only for one Professional Client Project and one End Client. The Professional’s handling of the Digital Masterfile is permitted solely to plan, adapt, coordinate, and complete that project.
The Professional must not use the same Digital Masterfile for a second End Client, a later client project, a different site, a separate proposal, or the Professional’s own unrelated use.

6.2 Professional’s limited project role
For the duration of the Professional Client Project, the Professional may:

make the modifications permitted by Section 8 for the identified End Client’s project;
provide the Digital Masterfile to an independent print specialist solely as needed to create authorised Physical Outputs for that project; and
arrange the manufacture, delivery, sale, or supply of the finished Physical Output to the End Client as part of that project.
The Professional’s project permission ends when the Digital Masterfile and applicable use rights are handed over to the End Client, or when the Professional Client Project otherwise ends, whichever occurs first. The Professional retains no independent, continuing, or project-transferable right to use the Digital Masterfile after that point.

6.3 End Client handover
Upon completion of the Professional Client Project, the Professional must hand over to the End Client:

the Digital Masterfile and available access information needed to hold it securely;
the rights granted to the End Client under the applicable Commercial License;
material information reasonably necessary to understand the limits of the license.
The End Client then becomes the Licensee for the applicable Commercial License and may, within its own permitted commercial context, obtain additional or replacement Physical Outputs. The Professional must not retain a usable copy of the Digital Masterfile or use it for any purpose after handover.
If the Professional Client Project ends before completion, all rights of the Professional under this Section 6 automatically terminate. The Professional must permanently delete or render inaccessible the Digital Masterfile and any usable copies and must use reasonable efforts to ensure that any print specialist does the same.

6.4 Subsequent print requests
After the End Client becomes the Licensee, the End Client may obtain additional or replacement Physical Outputs within the permitted Commercial License scope. The Professional has no independent right to order or authorise those outputs after handover unless acting as the End Client’s authorised service provider for the End Client’s benefit.

7. Print Specialists, File Security, and Physical Production

7.1 Limited technical sharing
The Licensee may provide the Digital Masterfile to an independent print specialist only where necessary to create an authorised Physical Output. The print specialist acts solely as a technical service provider and receives no ownership, license, or independent reuse right in the Digital Masterfile or Work.

7.2 Licensee responsibility
The Licensee is responsible for taking reasonable steps to ensure that the print specialist uses the Digital Masterfile only for the authorised order, does not make it available to others, does not use it for another customer or purpose, and deletes or renders inaccessible working copies when authorised production is completed.

7.3 No physical-production service by Licensor
The Licensor supplies a licensed Digital Masterfile only. The Licensor does not provide or control printing, material selection, colour management, mounting, framing, installation, display environment, proofing, or physical-production services. The Licensee selects and manages any independent print specialist and remains responsible for its own production, material, size, installation, and project decisions.

8. Modifications and Integrity of the Work
Subject to the remaining terms of this Agreement, the Licensee may resize, scale, crop, change dimensions, apply colour treatment, edit, or make other technical or visual modifications to the Digital Masterfile for the Licensee’s permitted use.
This permission does not allow the Licensee to claim authorship of the original Work, remove or falsify provenance information, create a separate digital asset for sale or distribution, register the Work or a substantially similar derivative as a trademark or other proprietary right, or use the Work in a manner that is unlawful, misleading, defamatory, or materially harmful to the Licensor’s rights.

9. Public Display, Online Project Presentation, and Credit
The Licensee may publicly display authorised Physical Outputs in the permitted private, commercial, or Professional Client Project context.
The Licensee may show a completed, lawfully implemented project on a website, in social media, in press materials, or in a portfolio, provided that the Digital Masterfile is not offered for download, extraction, or independent use. A credit in the form “Image by UltraHighRes.Art” is encouraged but not mandatory.
The Licensee must not falsely state or imply that the Licensee or another third party created the original Work.

10. Original Uniques and Limited Editions

10.1 Original Uniques
For an Original Unique, the Licensor grants one exclusive digital license. After that license is sold, the Licensor will not sell or grant another license in the same Work and will present the Work as sold out.
The exclusivity concerns the grant of a digital license to the Work. It does not reduce the Licensee’s right to create authorised Physical Outputs within the applicable Personal License or Commercial License. It does not transfer copyright to the Licensee.
The Licensor retains the right to use the Work for its own portfolio, archival, promotional, press, website, and social-media purposes.

10.2 Limited Editions
A Limited Edition is limited to ten (10) digital licenses for the relevant Work. Each Limited Edition Licensee receives the rights associated with the selected Personal License or Commercial License. A Limited Edition is not exclusive among its ten license holders.

10.3 Sold-out status
Once the applicable Original Unique or Limited Edition license quantity has been reached, the Licensor will treat the Work as sold out for further license sales.

11. Prohibited Uses
Except for the narrowly defined permissions in this Agreement, the Licensee and any person acting through the Licensee must not:

sell, resell, rent, lease, lend, donate, transfer, sublicense, distribute, publish, upload, host, share, or otherwise make the Digital Masterfile, an editable source version, or an independently usable digital derivative available to any third party;
make the Digital Masterfile available through a marketplace, website, stock library, asset library, template service, print-on-demand service, file-sharing service, or other platform;
use the Digital Masterfile or Work as, in, or for mass-produced goods offered for resale, except for the permitted sale or supply of a finished Physical Output in one Professional Client Project under Section 6;
use the Digital Masterfile or Work for a non-fungible token, other tokenised asset, blockchain-based asset offering, or similar digital-rights product;
use the Digital Masterfile, Work, accompanying metadata, or related information to train, test, evaluate, improve, or develop a machine-learning model, artificial-intelligence system, dataset, or similar technology;
use the Work as stock content, a template, a downloadable product, a logo, a trade mark, a service mark, or a brand identifier;
allow a Professional to reuse a Work for more than one End Client or more than one Professional Client Project;
allow a print specialist to retain, reuse, redistribute, or commercialise the Digital Masterfile;
falsely claim authorship of the original Work, remove or alter ownership information in a misleading way, or represent that the Licensee owns copyright in the Work; or
use the Work in a manner that is unlawful, infringing, defamatory, deceptive, or otherwise prohibited by applicable law.

12. Relationship with the Standard Business Terms and other policies

12.1 This License Agreement is an integral part of the Standard Business Terms and customer information of seedfish UG (haftungsbeschränkt) (the “Standard Business Terms”). The Standard Business Terms are made available during the ordering process and are provided with the applicable Order Confirmation as PDF attachments.

12.2 Subject to mandatory applicable law, the Standard Business Terms govern the conclusion of the contract, payment, provision of digital content, withdrawal rights and the consequences of withdrawal, statutory rights in the event of defects, general liability, applicable law, jurisdiction and customer information.

12.3 This License Agreement exclusively governs the scope and nature of the licence granted for the Digital Masterfile, permitted and prohibited uses, the authorised involvement of Print Specialists and Professionals, edition status and licence-specific consequences of a breach of use restrictions. In the event of a conflict, this License Agreement prevails only with respect to those licence-specific matters.

12.4 No provision of this License Agreement limits mandatory consumer protection law or statutory rights in the event of defects.

12.5 The applicable product page and Order Confirmation record transaction-specific facts, including the purchased Work, selected licence type and, where relevant, Original Unique or Limited Edition status. They do not expand the licence rights granted by this Agreement.

13. Right to Grant the Licence
The Licensor represents that it is entitled to grant the licence rights expressly described in this Agreement. Any statutory rights of the Licensee in the event of defects are governed by the Standard Business Terms and mandatory applicable law.

14. Licence-Specific Consequences of Breach

14.1 A material breach of the licence restrictions in this Agreement may entitle the Licensor, subject to mandatory applicable law and the Standard Business Terms, to suspend or terminate the licence rights granted for the affected Digital Masterfile.

14.2 Material breaches include, in particular, unauthorised sale, distribution or sharing of the Digital Masterfile, unauthorised marketplace, stock, tokenised-asset or AI/ML use, a Professional’s reuse of a Work for more than one End Client or Professional Client Project, and a Print Specialist’s independent reuse of the Digital Masterfile.

14.3 For a breach that is capable of being cured and is not of a nature requiring immediate action, the Licensor will give written notice and a reasonable opportunity to cure before suspending or terminating the licence rights.

14.4 On a lawful suspension or termination of licence rights, the affected person must stop the unauthorised use and delete or render inaccessible the Digital Masterfile and usable copies in its possession or control. Lawfully created Physical Outputs and rights validly handed over to an End Client under Section 6 remain unaffected, unless mandatory applicable law requires otherwise.

14.5 Claims for damages and other legal remedies are governed by the Standard Business Terms and mandatory applicable law.

15. Version Applicable to the Purchase
The version of this Agreement made available during the ordering process and provided with the applicable Order Confirmation applies to the relevant purchase, subject to mandatory applicable law.
